Job Purpose: 

  • The Assistant Counsel will join a strong, dynamic and collaborative team of legal professionals in the OppenheimerFunds legal department primarily focused on the legal and regulatory needs of our Beta Solutions business, which is responsible primarily for the development, launch and ongoing management of our ETF products
  • The successful candidate will also assist with disclosures and regulatory filings related to OppenheimerFunds’ family of mutual funds
  • The position is located in New York City and reports to the Senior Vice President and Managing Counsel responsible for the Beta Solutions business in the OppenheimerFunds Legal Department.

Your Responsibilities:

  • Serving as counsel to the Beta Solutions business unit; working closely with colleagues across OFI on new product development and implementation and ongoing operations and distribution of existing products
  • Working closely with business leaders to grow the infrastructure for the development and implementation of new products
  • Counseling on ETF secondary market trading issues involving Authorized Participants, market makers, and other traders/investors
  • Preparing and reviewing fund registration statements on Forms N-1A, N-2 and N-14
  • Preparing summary prospectuses
  • Preparing and reviewing initial registration statements, relevant exhibits (e.g., investment advisory agreements), and related state corporate charter materials for new fund launches
  • Preparing and reviewing proxy statements and related materials
  • Reviewing disclosures for fund annual and semi-annual reports
  • Reviewing other SEC filings, including e.g., NSARs/NCEN and N-8Fs
  • Providing legal counsel to internal clients regarding issues arising under the Investment Company Act, Investment Advisers Act and other applicable laws and regulations
  • Training and mentoring paralegal staff
  • Providing support on legal matters relating to general corporate issues as needed
  • Working with colleagues on the board relations team, and drafting and reviewing board materials regarding the funds.

Skills and Qualifications:  

  • J.D. with strong academic credentials
  • At least 6-10 years relevant legal experience, with a strong understanding of the relevant portions of U.S. federal securities and commodities laws applicable to the trading and operations of ETFs and mutual funds, including the Investment Company Act of 1940, Securities Act of 1933, and the Securities Exchange Act of 1934 as well as a working knowledge of the Investment Advisers Act
  • A solid understanding of the unique regulatory and capital markets issues associated with ETFs, including familiarity with relevant exchanges and their listing requirements
  • Thorough knowledge of relevant SEC forms, including Forms N-1A, N-2 and N-14 and a strong background in the area of disclosure
  • Highly motivated, team-oriented individual
  • Able to work independently, possess strong project management skills, work well with internal and external clients, and actively participate as a member of the OppenheimerFunds Legal team
  • Have experience dealing directly with SEC staff concerning comments on filed materials and other matters
  • Knowledge and experience working with index and data providers and intellectual property issues associated with index development and index investing a plus
  • Admittance to the New York bar, or in-state qualification or the desire to become qualified in New York within a reasonable period after commencement of employment is required.
