Job Purpose:
- This position will support BMO GAM’s manufacturing of retail and institutional investment products
- You will deliver expert and experienced Canadian legal support for BMO GAM’s Canadian and international business, operations and corporate affairs, with a focus on the Canadian-based investment fund manager and portfolio manager
Your Responsibilities:
- Creating new products, with a focus on Canadian mutual funds, ETFs and pooled funds
- Maintaining existing products
- Drafting documents, including prospectuses, annual information forms, material contracts, constating documents, regulatory applications and filings in support of the creation and continuous distribution of BMO GAM’s products
- Negotiating agreements, including investment management agreements, subscription agreements and derivatives documentation
- Supporting distribution
- Advising on a wide array of existing and new securities laws and regulatory initiatives
- Advising on corporate governance matters
- Collaborating with other support groups
- Instructing and managing external legal counsel
- This position will not be responsible for litigation matters.
Skills and Qualifications:
- Minimum requirements are a degree in law (LLB/JD) and license to practice law in Canada
- 7 or more years from call to the Bar
- Experienced in and strong legal knowledge of Canadian securities regulatory, business, commercial and corporate matters, with expertise in investment funds and asset management
- Experience in cross-jurisdictional investment fund and asset management matters is valued
- Strong judgment and analytical capability
- Strong verbal and written communication skills
- Excellent relationship management skills
- Strong drafting and negotiation skills
- Ability to work independently and in a team environment
- Solution-oriented with strong ability to make things happen with pace.
